1. Agreement
By accessing or using SmartBill, you agree to these Terms of Service. If you use SmartBill on behalf of a company, partnership, or other legal entity, you represent that you are authorized to bind that entity to these terms.
These terms apply unless SmartBill and the customer have entered into a separate written agreement that expressly overrides them.
2. Accounts and Users
You must provide accurate account information and keep it up to date. The customer account owner is responsible for managing branch access, staff permissions, device access, and all activity that takes place under the account.
You must protect passwords, login devices, API credentials, and any other access mechanisms connected to SmartBill. Notify us promptly if you suspect unauthorized access, account misuse, or a security incident.
3. Subscriptions and Billing
SmartBill may offer trial access, monthly plans, annual plans, add-on services, or custom commercial terms. Pricing, included features, usage limits, and billing intervals are described on our pricing pages, order forms, invoices, or other written commercial terms.
- Trial accounts may be limited in time, features, storage, or support, and may end unless you subscribe or we agree otherwise in writing.
- Paid fees are generally billed in advance for each billing cycle.
- Recurring subscriptions renew automatically for the next billing cycle unless canceled before renewal.
- Fees are generally non-refundable except where required by law or where SmartBill agrees otherwise in writing.
- You are responsible for applicable taxes, duties, levies, and bank charges, excluding taxes based on SmartBill's net income.
- If payment is overdue, we may suspend or limit the service after reasonable notice.
4. Hardware and Third Parties
SmartBill may integrate with printers, barcode scanners, payment processors, messaging providers, accounting tools, or other third-party products. SmartBill is not responsible for third-party services, hardware failures, connectivity issues, or changes to third-party terms.
You are responsible for obtaining and maintaining compatible devices, internet connectivity, peripheral hardware, and any third-party subscriptions required for your business workflows.
5. Acceptable Use
You agree not to use SmartBill to:
- break the law or facilitate unlawful, fraudulent, or deceptive conduct;
- interfere with the integrity, availability, or security of the service;
- attempt unauthorized access to accounts, systems, data, or networks;
- upload malware, harmful code, or content that disrupts other users;
- misrepresent your identity, business records, transactions, or authority;
- reverse engineer, copy, scrape, or exploit the service beyond the rights granted under these terms, except where applicable law permits it.
6. Customer Data
As between you and SmartBill, you retain ownership of the transaction records, inventory data, staff records, customer details, and other content you submit to the service. You grant SmartBill the rights needed to host, process, back up, secure, transmit, analyze, and display that data solely to provide and improve the service.
You are responsible for making sure you have the necessary rights and permissions to collect, upload, and use the data stored in SmartBill. Our handling of personal information is described in the Privacy Policy.
During an active subscription and for a limited period after cancellation, usually up to 90 days, you may be able to export or retrieve your data subject to our retention practices, account status, and technical limits.
7. Availability and Support
We aim to keep SmartBill reliable and available, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency maintenance, telecom failures, device issues, internet outages, or third-party disruptions may affect availability.
Support is provided through the channels we make available, which may include WhatsApp, email, onboarding sessions, remote support, or in-product assistance. Response times and support scope may vary by plan, issue severity, and support hours.
We may modify, improve, replace, or discontinue features from time to time. Where practical, we will use reasonable efforts to avoid material disruption to active paying customers.
8. Confidentiality
Each party may receive non-public business, technical, or commercial information from the other party. The receiving party will use that confidential information only for the purposes of the business relationship and will protect it using reasonable care.
Confidential information does not include information that becomes public without breach, was already lawfully known, is received lawfully from a third party without restriction, or is independently developed without use of the other party's confidential information.
9. Intellectual Property
SmartBill and its software, interfaces, documentation, branding, designs, reports, and other service materials are owned by SmartBill or its licensors and are protected by intellectual property laws. These terms do not transfer ownership of the service to you.
Subject to your compliance with these terms, SmartBill grants you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business operations during the active subscription term.
If you provide product suggestions, feedback, or enhancement ideas, you agree that SmartBill may use them without restriction or compensation.
10. Suspension and Termination
You may stop using SmartBill at any time and may cancel recurring plans before the next billing cycle. We may suspend or terminate access if you materially breach these terms, fail to pay fees when due, create security risk, misuse the service, or if suspension is required by law.
When the service ends, your right to access SmartBill also ends, but provisions that should reasonably survive termination will remain in effect, including provisions relating to payment obligations, confidentiality, disclaimers, liability limits, and dispute handling.
11. Disclaimers
Except as expressly stated by SmartBill in writing, the service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SmartBill disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
SmartBill does not guarantee that the service will be uninterrupted, always available, completely secure, or suitable for every business, device, tax workflow, or regulatory scenario without customer review and configuration.
12. Limitation of Liability
To the maximum extent permitted by law, SmartBill will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities arising out of or relating to the service.
To the maximum extent permitted by law, SmartBill's aggregate liability for claims arising out of or relating to the service will not exceed the amounts paid by you to SmartBill for the applicable service during the twelve months before the event giving rise to the claim.
13. Governing Law
These terms are governed by the laws of Sri Lanka, without regard to conflict of law rules, unless another governing law is required by applicable law or stated in a separate written agreement between the parties.
We may update these terms from time to time. If we make a material change, we will update the date at the top of this page and may provide notice through the website, the product, email, or another reasonable channel.
